1. Introduction and acceptance

These Website Terms & Conditions ("Terms") form a legal agreement between you and TradeInfra Networks LLP ("TradeInfra", "we", "us" or "our") concerning your access to and use of the TradeInfra website and applicable member services.

By registering as a member, clicking an acceptance box, submitting a membership application after being presented with these Terms, or using member-only services after acceptance is required, you agree to be bound by these Terms. If you do not agree, you must not register or use the member-only services.

The Privacy Policy explains how personal data is processed. A separate transaction agreement may govern a particular export consignment and is not replaced by these Terms.

2. About TradeInfra

TradeInfra Networks LLP is an India-based B2B trade facilitation business operating the TradeInfra website. The registered office identified in current TradeInfra transaction documentation is 1-44/1, Aravelli, Pegadapally, Jagtial, Telangana - 505452, India.

The Platform is intended for business users. It may provide registration, verification, business matching, RFQs, communications, sourcing support, documentation support and related coordination services.

3. Definitions

• Account: the member account created or maintained for access to member services.
• Buyer: a registered business seeking goods or services.
• Supplier: a registered business offering goods or services.
• Member: a user whose registration has been accepted for member access.
• Platform: the TradeInfra website and member-facing digital services operated by TradeInfra.
• KYC/KYB: identity and business verification activities undertaken for onboarding, compliance, security or transaction support.
• RFQ: a request for quotation, sourcing request, enquiry or similar commercial request submitted through the Platform.
• Transaction Agreement: a separate written agreement governing a specific export consignment or commercial transaction.
• User Content: information, documents, images, text, product information and other material submitted by a user.

4. Eligibility

• You must be at least 18 years old.
• You must have legal capacity to enter into binding arrangements where applicable.
• If you register or act for a business or organisation, you must be authorised to do so or otherwise have lawful authority to submit the information and act for that organisation.
• You must use the Platform for legitimate business purposes and comply with applicable law.
• You must provide accurate, complete and current information.

5. Registration and membership

• Registration is an application and does not automatically create a right to membership.
• TradeInfra may review the information and documents submitted and may request clarification or additional verification information.
• TradeInfra may approve, reject, defer, restrict or condition membership where reasonably necessary for verification, security, legal or operational reasons.
• A member must keep its account information accurate and update material changes promptly.
• Registration does not create a purchase contract, supply contract or export consignment. A specific transaction requires its own applicable commercial arrangement and documents.

6. KYC/KYB and verification

TradeInfra may conduct or arrange identity, business and compliance verification as part of membership or requested services. Verification may use information submitted by the member, public records, business sources and authorised third-party verification providers where appropriate.

Members must provide authentic, accurate and complete information and documents. TradeInfra may restrict, suspend or reject an application or account where information is inaccurate, misleading, incomplete, unverifiable or presents a legal, security or compliance concern.

A "Verified" status, badge or similar indication is limited to the scope of the verification actually performed. It is not a guarantee of a member’s solvency, product quality, legal compliance beyond the checks performed, future performance, transaction success or absence of commercial risk.

7. Member account security

• Keep login credentials confidential and use reasonable security practices.
• Do not permit unauthorised persons to use your account.
• Notify TradeInfra promptly if you suspect unauthorised access or account compromise.
• TradeInfra may require password resets, additional verification or other security measures.
• A member is responsible for activities carried out through its account to the extent permitted by applicable law, except where the activity resulted from TradeInfra’s failure to apply required security measures or another legally attributable cause.

8. Member representations

By registering or using member services, you represent that the information and documents you provide are accurate and that you have authority to provide them. You must not impersonate another person or business, conceal material information, submit forged documents or knowingly provide misleading information.

9. Platform services

• Member registration and account administration.
• Business verification and KYC/KYB support.
• Buyer-supplier connection and business matching.
• RFQs, sourcing enquiries and commercial communications.
• Document submission and coordination support.
• Meeting, communication or notification features where made available.
• Additional B2B trade facilitation services that TradeInfra may make available from time to time.

TradeInfra may change, suspend or discontinue a platform feature where reasonably necessary for security, maintenance, legal compliance, business operations or service improvement, subject to applicable law.

10. Buyer responsibilities

• Provide accurate purchasing requirements and commercial information.
• Evaluate Suppliers and product information independently and obtain any approvals required for its business.
• Comply with applicable import, customs, sanctions, tax, product, licensing and other legal requirements.
• Provide timely information, approvals and documents needed for services requested from TradeInfra.
• Make payments and perform transaction obligations only in accordance with the applicable written commercial arrangement.

11. Supplier responsibilities

• Provide accurate business, product and capability information.
• Ensure that products and supporting documents are lawfully sourced and accurately described.
• Maintain required licences, certifications and regulatory approvals applicable to the products offered.
• Comply with export, customs, sanctions, anti-bribery, anti-corruption, anti-money-laundering, tax and other applicable requirements.
• Provide requested documents and cooperate with lawful verification or inspection processes when applicable.

12. RFQs, quotations and commercial communications

• RFQs and enquiries submitted through the Platform are requests for commercial information or sourcing support unless expressly stated otherwise.
• Quotations, product information and commercial proposals are submitted by users and remain the responsibility of the submitting user unless TradeInfra expressly assumes a specific responsibility under a written transaction agreement.
• TradeInfra does not guarantee that an RFQ will receive a response or result in a transaction.
• Members are responsible for independently reviewing and approving commercial terms before entering into a transaction.

13. TradeInfra’s role

TradeInfra generally operates as an independent B2B trade facilitation and platform service provider. Website membership alone does not make TradeInfra the buyer, seller, manufacturer, owner of goods, carrier, insurer or general payment intermediary in a member transaction.

For a specific export consignment, TradeInfra may assume additional roles or responsibilities where it is expressly appointed under a separate written transaction agreement. Such transaction-specific responsibilities may include export administration, Legal Exporter functions where applicable, payment-security coordination, quality coordination, documentation support or dispute facilitation. The scope of those responsibilities is determined by the applicable transaction agreement and law.

14. Transaction-specific agreements

A purchase order, supply contract, Tri-Party Trade Agreement or other written transaction document may establish binding commercial obligations between the relevant parties. Registration on the Platform does not itself create such a transaction.

Where TradeInfra is expressly appointed to perform a transaction-specific role, that role and the related obligations are governed by the applicable transaction agreement. Members must review and accept the relevant transaction documents before proceeding with a specific consignment.

15. Fees and charges

Certain platform, professional or transaction-related services may be subject to fees. The applicable fee, timing, tax treatment and payment instructions will be communicated through the relevant service terms, quotation, invoice, Commercial Schedule or transaction agreement. No transaction-specific fee or payment obligation is created merely by these general Website Terms unless expressly stated.

16. Compliance with law

• Members must comply with applicable Indian and foreign laws relevant to their activities on the Platform.
• This includes applicable export, import, customs, sanctions, anti-bribery, anti-corruption, anti-money-laundering, tax, product-safety and licensing requirements.
• Members must not use the Platform to facilitate prohibited, unlawful or restricted activities.

17. Prohibited activities

• Providing false, misleading, incomplete or forged information or documents.
• Impersonating an individual, company or authorised representative.
• Fraud, deception, money laundering, sanctions evasion or other unlawful conduct.
• Offering or requesting prohibited goods or services in violation of applicable law.
• Uploading malicious software or interfering with Platform security or availability.
• Unauthorised scraping, harvesting, copying or systematic extraction of Platform data.
• Infringing intellectual property or privacy rights of others.
• Using another person’s account without authority.
• Attempting to bypass security, verification or access controls.
• Using TradeInfra information, introductions or systems for unlawful purposes or in a manner that breaches a separate transaction agreement.

18. User content and business documents

You retain ownership of content and documents that you lawfully own. By submitting content to TradeInfra, you grant TradeInfra a limited, non-exclusive right to store, reproduce, display, transmit and use that content only as reasonably necessary to operate the Platform, provide requested services, perform verification, facilitate communications, maintain records, comply with law, protect security or otherwise perform the relevant member or transaction service.

You must have the right and authority to submit content and any personal data contained in it. TradeInfra may remove or restrict content that reasonably appears unlawful, fraudulent, harmful, infringing or inconsistent with these Terms or applicable law.

19. Confidentiality

TradeInfra will handle non-public business information with reasonable care and will disclose it only as necessary for the requested service, a relevant transaction, authorised service-provider support, legal compliance, security, dispute handling or another permitted purpose. Members must also respect the confidentiality of non-public information received from other members and must not use it for an unrelated purpose without appropriate authority.

Specific confidentiality obligations applicable to an individual transaction may be set out in the separate transaction agreement and will govern that transaction.

20. Intellectual property

The TradeInfra website, software, interfaces, design, trademarks, logos, text, graphics, databases and other TradeInfra-owned or licensed materials are protected by applicable intellectual-property laws. Except as expressly permitted by law or in writing, members must not copy, modify, distribute, republish, reverse engineer, commercially exploit or create derivative works from TradeInfra materials.

21. Privacy and data protection

Personal data is handled in accordance with the TradeInfra Privacy Policy and applicable privacy and data-protection law. Members must provide information lawfully and must not submit another person’s personal data unless they are authorised to do so and have a lawful basis for the disclosure.

22. Communications

• TradeInfra may send service-related communications concerning accounts, verification, security, requests, transactions, legal notices and platform changes.
• Marketing communications will be handled in accordance with applicable law and any required consent or preference mechanism.
• Electronic communications may be used for operational coordination, but a specific commercial commitment is binding only where the applicable transaction documents or these Terms expressly recognise it.

23. Third-party service providers and links

TradeInfra may use or coordinate with independent service providers such as verification providers, technology vendors, payment providers, logistics providers, inspection bodies, insurers, banks, professional advisers and other service partners. Their services may be subject to separate terms and privacy notices. TradeInfra is not responsible for an independent third party’s acts or omissions except to the extent responsibility is imposed on TradeInfra by applicable law or expressly undertaken in writing.

24. Platform availability

TradeInfra will use reasonable efforts to maintain the Platform but does not guarantee uninterrupted or error-free availability. The Platform may be temporarily unavailable for maintenance, updates, security measures, service-provider issues, outages or circumstances beyond TradeInfra’s reasonable control.

25. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Platform and third-party information are provided on an availability basis without an unconditional guarantee that the Platform, information, member content or services will always be complete, accurate, uninterrupted or suitable for a particular commercial result.

TradeInfra does not guarantee the quality, safety, legality, availability, pricing, delivery, solvency or performance of products, Suppliers, Buyers or other third parties merely because they appear on or are connected through the Platform. Verification is limited to the scope of the checks actually performed.

26. No guarantee of transaction success

TradeInfra does not guarantee that an enquiry will result in a quotation, that a quotation will result in an order, or that a transaction will be completed successfully. Members remain responsible for commercial decisions, due diligence and compliance with their own legal and business requirements.

27. Limitation of liability

To the maximum extent permitted by applicable law, TradeInfra will not be liable for indirect, incidental, special, exemplary or consequential losses, including loss of profits, revenue, business opportunity, goodwill or data, arising solely from use of the Platform.

Nothing in these Terms excludes or limits liability to the extent that applicable law does not permit the exclusion or limitation, including liability that cannot lawfully be excluded for fraud, wilful misconduct or other matters for which exclusion is prohibited. Any liability or remedy specifically agreed under a separate transaction agreement for a particular consignment is governed by that transaction agreement.

28. Indemnification

To the extent permitted by applicable law, a member will indemnify and hold TradeInfra and its personnel harmless from third-party claims, losses and reasonable costs arising from the member’s fraud, unlawful conduct, material misrepresentation, infringement of another person’s rights, unauthorised submission of personal data, or material breach of these Terms, except to the extent caused by TradeInfra’s own unlawful conduct or matters for which liability cannot lawfully be shifted.

29. Force majeure

TradeInfra will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government action, sanctions, major infrastructure or communications failures, cyber incidents affecting relevant systems, transport disruption, labour disruption or similar extraordinary events, subject to applicable law.

30. Suspension or restriction

TradeInfra may suspend, restrict or limit an account or service where reasonably necessary because of suspected fraud, security concerns, inaccurate or unverifiable information, KYC/KYB failure, violation of these Terms, unlawful activity, sanctions or compliance concerns, non-payment of an applicable fee, regulatory direction or a material risk to TradeInfra, members or the Platform.

31. Termination

A member may stop using the Platform and request closure of its account. TradeInfra may terminate or suspend membership where permitted by these Terms or applicable law. Termination does not automatically terminate a separate transaction agreement, payment obligation, confidentiality obligation, dispute obligation or record-retention requirement that arose before termination.

32. Electronic records and acceptance

Electronic records, account submissions, platform confirmations, emails, logs and other digital records may be retained and used as evidence of the relevant communication or action to the extent permitted by applicable law. Acceptance of these Terms may be recorded electronically through a click, checkbox or other clear affirmative mechanism.

The use of electronic means for contract formation does not by itself make an otherwise valid agreement unenforceable under applicable Indian law.

33. Registration acceptance

For member registration, the User will be required to select one acceptance checkbox on the registration form. By selecting that checkbox and submitting the registration, the User confirms that the User:

1. I have read and agree to the TradeInfra Website Terms & Conditions.
2. I acknowledge that I have read the TradeInfra Privacy Policy.
3. I confirm that the information and documents submitted by me are true, accurate and complete and that I am authorised to submit them on behalf of the organisation, where applicable.
4. I understand that registration and membership do not by themselves create a specific export consignment or commercial transaction, and that any such transaction will be governed by separate transaction documents.

34. Notices

Formal notices relating to these Terms may be sent to TradeInfra at saikumar@tradeinfra.net. TradeInfra may send account and operational notices to the email address or other contact details provided by the member or through the member account interface.

35. Amendments

TradeInfra may update these Terms from time to time to reflect service, legal, security or operational changes. Updated Terms will be published on the website with a revised Last Updated date. Where a change is material and applicable law requires additional notice or acceptance, TradeInfra will provide that notice or obtain the required acceptance. A change to these general Terms does not by itself amend a separately signed transaction agreement.

36. Governing law

These Terms are governed by the laws of India, subject to mandatory laws that may apply to a user or activity notwithstanding this choice of law.

37. Dispute resolution for website membership disputes

The parties should first attempt in good faith to resolve a dispute relating solely to website access, registration or membership through written discussions with TradeInfra. If the dispute is not resolved amicably, it may be referred to a competent dispute-resolution forum in accordance with applicable Indian law and any valid dispute-resolution clause agreed between the parties for the relevant matter.

A dispute arising under a separate transaction agreement is governed by the dispute-resolution provisions of that transaction agreement and not by this general membership provision.

38. Relationship of the parties

These Terms do not create a partnership, joint venture, employment relationship or general agency between TradeInfra and a member. TradeInfra’s rights or authority under a specific transaction arise only from the relevant written transaction arrangement and applicable law.

39. Assignment

A member may not transfer or assign its membership or material rights under these Terms without TradeInfra’s prior written consent, except where applicable law permits otherwise. TradeInfra may assign or transfer these Terms as part of a lawful corporate restructuring, merger, transfer of business or similar transaction, subject to applicable law.

40. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to the extent permitted by law, and the invalid provision will be limited or replaced only as far as necessary to make the provision enforceable while preserving its intended purpose.

41. Waiver

A failure or delay by TradeInfra in enforcing a provision of these Terms does not constitute a waiver of that provision or of the right to enforce it later.

42. Survival

Provisions that by their nature should continue after termination, including provisions relating to intellectual property, confidentiality, privacy, liability, indemnification, dispute resolution, records and unpaid obligations, will survive termination to the extent permitted by law.

43. Entire agreement and document hierarchy

These Website Terms, together with the Privacy Policy and any additional terms expressly incorporated for a specific platform service, govern the member relationship. A separate written transaction agreement and its transaction-specific documents govern the commercial transaction for which they were executed. If a transaction agreement expressly assigns a specific role or obligation to TradeInfra, that agreement controls for the relevant transaction to the extent of any inconsistency with these general Website Terms.

The Privacy Policy controls matters concerning the processing of personal data. Mandatory applicable law controls where a contractual provision cannot lawfully override it.

44. No waiver of mandatory rights

Nothing in these Terms is intended to exclude, restrict or waive a legal right or remedy that cannot lawfully be excluded, restricted or waived.
